Recommended bylaw language for conflict resolution

Few medical staff bylaws address the process for resolving disagreements between the medical executive committee (MEC) and the board. Without this language the medical staff and board are left without guidance and may permit a relatively minor issue to grow into a divisive obstacle. Consider the following proposed language:
In the event the board acts in a manner contrary to an MEC recommendation, the matter may (at the request of the MEC) be submitted for a joint conference composed of the medical staff officers and an equal number of board members for review and recommendation to the full board. The board chair is authorized to vote to break a tie. The committee will submit its recommendation to the board within 30 days of its meeting.
The board chair may call for a joint conference as described at any time and for any reason to seek direct input from the medical staff leaders, clarify an issue, or relay information directly to medical staff leaders.
